Investment Disclaimer

Important legal information about the nature, limitations, and terms of skill-backed investment agreements through BlackForce Finance.

Important: Please read this disclaimer carefully before making any investment. This document does not constitute financial advice. Last updated: February 2026.

Summary

BlackForce Skill Capitalization investments are earnings share agreements, not traditional securities or regulated financial products. They carry risks including potential loss of investment. Returns are not guaranteed and depend on individual learner employment outcomes. Learner protection mechanisms (income thresholds, payment caps, duration limits) are mandatory and may limit returns.

Please consult qualified financial, legal, and tax advisors before investing. Read the full disclaimer and the Risk Disclosure document for complete information.

1. Nature of Investment

BlackForce Skill Capitalization investments are earnings share agreements, not equity investments, debt instruments, securities, or regulated financial products in the traditional sense. They are contractual arrangements between investors and learners, facilitated by BlackForce Technology Limited.

Earnings share agreements grant investors a right to receive a defined percentage of a learner's future income for a specified period, subject to the terms, conditions, and protections outlined in the individual agreement. They do not grant investors any ownership, equity, voting rights, or decision-making authority over the learner, their career, or their personal choices.

The classification and regulatory treatment of earnings share agreements may vary by jurisdiction. BlackForce does not warrant that these instruments are classified as securities, investments, or regulated financial products in any specific jurisdiction. Regulatory classification may change over time.

2. Not Financial Advice

Nothing on this website, in BlackForce marketing materials, in conversations with BlackForce representatives, or in any BlackForce documentation constitutes financial, investment, legal, or tax advice.

All information provided by BlackForce regarding projected returns, salary ranges, employment rates, market demand, and career trajectories are forward-looking estimates based on available data and historical outcomes. These estimates are provided for informational purposes only and should not be relied upon as guarantees or promises of future performance.

BlackForce strongly recommends that all prospective investors consult with qualified, independent financial advisors, legal counsel, and tax professionals before making any investment decision. Your financial advisor should assess whether skill-backed investments are appropriate for your individual circumstances, risk tolerance, and investment objectives.

3. No Guarantee of Returns

BlackForce does not guarantee any specific rate of return, income level, employment outcome, or financial result from any investment in the Skill Capitalization Platform.

Historical employment rates, salary data, and graduate outcomes from previous BlackForce cohorts are provided as context only and do not predict or guarantee future results. Market conditions, industry demand, economic factors, and individual learner performance are all variables that affect outcomes.

Investors may receive less than their original investment. In scenarios where a learner does not achieve employment above the income threshold, changes career paths, experiences prolonged unemployment, or otherwise does not generate qualifying income, earnings share payments may be minimal, delayed, or absent entirely.

4. Learner Protections & Limitations on Returns

All BlackForce earnings share agreements include mandatory learner protection mechanisms. These protections are non-negotiable and take precedence over investor return expectations:

Income Threshold Protection: No earnings share payments are due when a learner's income is below the defined minimum threshold. This threshold is set at a level designed to ensure learners can meet their basic living costs before any earnings share obligations apply.

Maximum Payment Cap: Total cumulative earnings share payments are capped at a defined maximum amount. Once this cap is reached, the agreement terminates regardless of the remaining duration.

Duration Limit: All agreements have a maximum duration (typically 24 to 60 months from first qualifying employment). When the duration expires, the agreement terminates regardless of whether the payment cap has been reached.

Hardship Clause: Learners experiencing documented financial hardship, serious illness, disability, or other qualifying circumstances may apply for payment pauses, reductions, or modifications.

Early Buyout: Learners may terminate their agreement early by paying a defined buyout amount at any time during the agreement period.

These protections may result in investors receiving less than projected returns. BlackForce considers these protections essential to the ethical integrity and long-term sustainability of the model.

5. Eligibility & Suitability

Skill-backed investments through BlackForce are intended for investors who understand and accept the risks disclosed in this document and the accompanying Risk Disclosure statement.

These investments are not suitable for investors who require guaranteed returns, capital preservation, regular income, or liquidity. Investors should have sufficient financial resources to bear the potential loss of their entire investment without material impact on their financial circumstances.

BlackForce reserves the right to assess investor suitability and may decline investment from individuals or entities that it determines are not appropriate participants in the Skill Capitalization Platform.
